1 Acceptance of Terms

These Terms of Use ("Terms") govern your access to and use of the websites operated by Neville Ventures, LLC ("Company," "we," "us," or "our"), including nevilleventures.com and our training platform (collectively, the "Website"), and any related services, content, features, or applications offered through the Website.

By accessing or using the Website, you accept and agree to be bound by these Terms and our Privacy Policy, incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Website.

You must be at least 18 years of age to make purchases through the Website. Training participants must be at least 14 years of age with authorization from their organization or employer. If you are under 18, you may use the Website only with the involvement and consent of a parent, guardian, or authorized organizational representative.

2 Changes to Terms

We reserve the right to revise and update these Terms at any time. We will provide at least thirty (30) days' notice before material changes take effect. Your continued use of the Website following the posting of revised Terms constitutes your acceptance of such changes.

We will provide notice of material changes by updating the "Last updated" date at the top of this page. For registered users, we will also provide notice via email to the address associated with your account.

3 Website Access & Security

We reserve the right to withdraw or amend the Website, and any service or material we provide on the Website, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Website is unavailable at any time.

You are responsible for making all arrangements necessary for you to have access to the Website and ensuring that all persons who access the Website through your internet connection are aware of these Terms and comply with them.

If you receive account credentials (username, password) for accessing the AI Training Camp platform or any other secured area of the Website, you must treat such information as confidential and must not disclose it to any other person or entity. Each set of credentials is for a single authorized user only. You agree to notify us immediately of any unauthorized access to or use of your credentials.

4 Intellectual Property Rights

The Website and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, design, selection, and arrangement thereof) are owned by the Company, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

This includes, without limitation:

• All training exercises, exercise content, step-by-step instructions, and prompts
• The AI Training Camp platform application and its source code
• All mock business datasets, including fictional companies and datasets, and all associated spreadsheets, documents, emails, and data files
• The facilitator dashboard and analytics tools
• Course materials, guides, and documentation

You may use the Website for your personal, non-commercial use or legitimate internal business purposes only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Website except as generally permitted through the Website's intended functionality.

5 Trademarks

The Company name, logo, "AI Training Camp," and all related names, logos, product and service names, designs, and slogans are trademarks of the Company or its affiliates. You must not use such marks without the prior written permission of the Company. All other names, logos, product and service names, designs, and slogans on the Website are the trademarks of their respective owners.

6 Prohibited Uses

You may use the Website only for lawful purposes and in accordance with these Terms. You agree not to use the Website:

• In any way that violates any applicable federal, state, local, or international law or regulation
• To transmit, or procure the sending of, any advertising or promotional material without our prior written consent, including any "junk mail," "chain letter," "spam," or any similar solicitation
• To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity
• To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Website, or which may harm the Company or users of the Website

Additionally, you agree not to:

• Use any robot, spider, scraper, or other automated means to access the Website or extract content, including training exercises, prompts, or mock data
• Introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful
• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Website, the server on which the Website is hosted, or any server, computer, or database connected to the Website
• Reverse engineer, decompile, or disassemble any software or technology used by the Website or the AI Training Camp platform
• Redistribute, resell, or share training content, exercises, prompts, or mock datasets with unauthorized parties
• Share your AI Training Camp login credentials with others or allow multiple individuals to use a single-user license
• Use the training platform or browser extension for any purpose other than completing training exercises
• Use the Website or platform for competitive intelligence gathering against Neville Ventures
• Attempt to access other participants' data or training sessions

7 User Contributions

The Website may contain contact forms, feedback mechanisms, and other interactive features that allow you to submit content, including but not limited to contact inquiries, feedback, and suggestions (collectively, "User Contributions").

Any User Contribution you submit will be considered non-confidential and non-proprietary. By providing any User Contribution, you grant us a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material for any purpose.

You represent and warrant that you own or control all rights in and to any User Contributions and that the content is accurate, not misleading, and does not violate these Terms or any applicable law.

8 Monitoring & Enforcement

We have the right to:

• Remove or refuse to post any User Contributions for any or no reason in our sole discretion
• Take any action with respect to any User Contribution that we deem necessary or appropriate if we believe it violates these Terms, infringes any intellectual property right, or could create liability for the Company
• Terminate or suspend your access to all or part of the Website for any or no reason, including any violation of these Terms
• Refer any matter to law enforcement where we reasonably believe a violation of law has occurred

9 Content Standards

These content standards apply to all User Contributions and use of the Website's interactive features. User Contributions must comply with all applicable federal, state, local, and international laws and regulations. User Contributions must not contain any material that is defamatory, obscene, abusive, harassing, threatening, or otherwise objectionable, or that promotes illegal activity, discrimination, or harm to any individual or group.

10 Information Reliance

The information presented on or through the Website is made available solely for general information purposes. We do not warrant the accuracy, completeness, or usefulness of this information. Any reliance you place on such information is strictly at your own risk. We disclaim all liability and responsibility arising from any reliance placed on such materials by you, any other visitor to the Website, or anyone who may be informed of any of its contents.

The Website may include content provided by third parties, including materials from training participants, licensors, syndication partners, and other users. All statements and opinions expressed in these materials are solely those of the person or entity providing them and do not reflect the opinions of the Company.

11 Website Changes

We may update the content on the Website from time to time, but its content is not necessarily complete or up-to-date. Any of the material on the Website may be out of date at any given time, and we are under no obligation to update such material. This includes training exercise content, pricing information, and feature descriptions.

12 Privacy

All information we collect on the Website is subject to our Privacy Policy. By using the Website, you consent to all actions taken by us with respect to your information in compliance with the Privacy Policy.

The AI Training Camp platform has additional data collection practices beyond standard website analytics, including exercise progress tracking, assessment scoring, and session analysis. These practices are fully described in our Privacy Policy and disclosed during the platform onboarding process.

13 AI Training Camp Platform

The AI Training Camp platform is a separately licensed service governed by the End User License Agreement (EULA). By purchasing and accessing the AI Training Camp, you agree to both these Terms and the EULA.

The platform provides access to:

• A guided Chrome browser extension with step-by-step exercise instructions
• Mock business data for realistic training scenarios
• Downloadable training data files

Access to the platform is time-limited based on your purchased tier. Exercise progress is stored locally in your browser and persists until you uninstall the extension or clear your browser data.

14 Payments & Purchases

All purchases through the Website are processed securely by our third-party payment processor. By completing a purchase, you also agree to the payment processor's terms of service and privacy policy, which will be presented to you at the time of checkout.

All fees are stated in U.S. Dollars and are due at the time of purchase. We do not store credit card numbers or payment instrument details on our servers.

Pricing Tiers

AI Training Camp is offered in multiple tiers with different access durations and features. Current pricing is displayed on the Website at the time of purchase. We reserve the right to change pricing at any time, but price changes will not affect purchases already completed.

Refunds and Cancellations

Refund and cancellation terms for the AI Training Camp platform are governed by the End User License Agreement (Section 8.5). In general, we offer refund windows based on your purchase type (monthly, annual, or single-session access). Contact us at contact@nevilleventures.com for any refund inquiries. Refunds are processed to the original payment method within 5-10 business days.

Service Delivery

Upon successful payment, login credentials will be delivered to the email address provided during checkout, typically within minutes. Your access period begins at the time credentials are issued, not at your first login. Access windows are non-transferable and non-pausable.

15 AI Content Disclaimer

The AI tools integrated into the training platform are provided by third-party AI services. We do not control the outputs generated by these AI systems and make no representations or warranties regarding their accuracy, completeness, or suitability for any particular purpose.

You acknowledge and agree that:

• AI-generated outputs may contain errors, inaccuracies, or biases
• Training exercises use fictional data and scenarios that do not represent real companies or situations
• Skills learned during training should be applied with professional judgment in real-world contexts
• The Company is not responsible for any decisions or actions taken based on AI-generated content
• AI-generated hints and automated exercise grading are provided as learning aids and may not always be accurate

16 Linking Policy

You may link to our homepage, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it. You must not establish a link in such a way as to suggest any form of association, approval, or endorsement on our part without our express written consent.

The Website may provide social media features that enable you to link from your own or third-party websites to certain content on the Website, send emails or other communications with certain content, or cause limited portions of content on the Website to be displayed on your own or third-party websites. You may use these features solely as provided and in accordance with any additional terms and conditions we provide.

The Website may contain links to third-party websites and resources, including but not limited to payment processing services, AI services, and cloud hosting providers. These links are provided for your convenience only. We have no control over the contents of those sites or resources and accept no responsibility for them or for any loss or damage that may arise from your use of them. If you decide to access any third-party websites linked from the Website, you do so entirely at your own risk and subject to the terms and conditions of those websites.

18 Geographic Restrictions

We provide the Website and services primarily for use by persons located in the United States. We make no claims that the Website or any of its content is accessible or appropriate outside of the United States. Access to the Website may not be legal by certain persons or in certain countries. If you access the Website from outside the United States, you do so on your own initiative and are responsible for compliance with local laws.

We do not provide services to, and purchases may not be completed by, persons in countries subject to U.S. sanctions or export restrictions.

19 Warranty Disclaimers

20 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE COMPANY, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE WEBSITE, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE WEBSITE, OR ANY SERVICES OBTAINED THROUGH THE WEBSITE.

THIS INCLUDES ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, OR LOSS OF DATA, WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

IN NO EVENT SHALL THE COMPANY'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE WEBSITE EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

21 Indemnification

You agree to defend, indemnify, and hold harmless the Company, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or any applicable law, your infringement of any third party's rights, or your misuse of the Website or any services obtained through the Website.

This includes, without limitation, any claims arising from your reliance on AI-generated content for business decisions, your misuse of the training platform, or your unauthorized redistribution of training materials.

22 Governing Law

All matters relating to the Website and these Terms, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the Commonwealth of Virginia without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Website shall be instituted exclusively in the federal courts of the United States or the courts of the Commonwealth of Virginia, and you waive any objection to the exercise of jurisdiction over you by such courts and to venue in such courts.

23 Limitation of Time to File Claims

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OR THE WEBSITE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED. THIS SECTION SHALL NOT APPLY WHERE PROHIBITED BY APPLICABLE LAW.

24 Class Action & Jury Trial Waiver

YOU AND THE COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both you and the Company agree otherwise, no arbitrator or judge may consolidate more than one person's claims or otherwise preside over any form of a representative or class proceeding.

TO THE EXTENT PERMITTED BY LAW, YOU AND THE COMPANY EACH WAIVE ANY RIGHT TO A JURY TRIAL IN ANY LEGAL PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE WEBSITE.

25 Severability

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

26 Entire Agreement

These Terms, our Privacy Policy, and our End User License Agreement (for users of the AI Training Camp platform) constitute the sole and entire agreement between you and Neville Ventures, LLC regarding the Website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.

In the event of any conflict or inconsistency between these Terms and the EULA, the EULA shall control with respect to your use of the AI Training Camp platform. In the event of any conflict between these Terms and a separately executed Order Form, the Order Form shall control.

27 Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from causes beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemics, war, terrorism, civil unrest, labor disputes, power failures, internet or telecommunications outages, third-party service provider failures, cyberattacks, or government actions. Our obligations shall be suspended for the duration of such event.

28 Survival

The following sections shall survive any termination or expiration of your access to the Website or Services: Sections 4 (Intellectual Property), 5 (Trademarks), 7 (User Contributions), 15 (AI Content Disclaimer), 19 (Warranty Disclaimers), 20 (Limitation of Liability), 21 (Indemnification), 22 (Governing Law), 23 (Limitation of Time to File Claims), 24 (Class Action & Jury Trial Waiver), 25 (Severability), 26 (Entire Agreement), 27 (Force Majeure), and this Section 28.
